Unless otherwise stated at checkout, all charges are in pounds sterling (GBP).

By submitting payment information to us, you represent and agree that: (i) you are fully authorised to use the card or account provided; (ii) all payment information provided is complete and accurate; (iii) you are responsible for any payment card fees; and (iv) sufficient funds or credit exist to pay the amount(s) due.

We and our third-party payment service providers may request, and may receive, updated card information from your card issuer, such as updated card numbers and expiry dates when your card has expired. If such updated information is provided to us and our third-party payment providers, we will update your account information accordingly. 8. Order Placement and Acceptance

9. Subscriptions, Automatic Payment, and Cancellation

When visiting the Website, you may have the option of purchasing a product one time or enrolling in Rosewyn's subscription plan, under which the payment method you provide at the time of enrolment is automatically charged at the interval you select (for example, every 30, 60, or 90 days) unless and until you cancel. If you enrol in a Rosewyn subscription, the payment method you provided will be billed and the product dispatched at the selected interval, from the date of your initial enrolment, unless you cancel. The prices charged for your subscription will be those confirmed to you on the checkout page at the time of your enrolment.

You may cancel your subscription at any time; however, to avoid being charged for the next order, you must cancel at least 24 hours before your next scheduled shipment. To cancel, email us at support@rosewynhealth.com or log in to your account to manage your subscription.

IF YOU ARE ENROLLED IN THE ROSEWYN SUBSCRIPTION PLAN AND HAVE PROVIDED US WITH A VALID PAYMENT METHOD, EACH PAYMENT WILL BE PROCESSED AUTOMATICALLY AT THE TIME OF EACH SHIPMENT OR INSTALMENT AND BILLED TO THE PAYMENT METHOD YOU PROVIDED AT ENROLMENT. YOU MAY CANCEL YOUR PARTICIPATION AT ANY TIME BY EMAILING SUPPORT@ROSEWYNHEALTH.COM OR BY LOGGING IN TO YOUR ACCOUNT TO MANAGE YOUR SUBSCRIPTION.

If you participate in the subscription plan and your payment method fails to process for a subsequent shipment, you agree that Rosewyn may contact you using any phone number or email address you provided in order to obtain alternative payment information. If you fail to pay for any product or service received, your account may be referred for collection where permitted by law.

10. Shipping

Rosewyn ships to addresses in the United Kingdom and to other destinations as indicated at checkout. Delivery times vary based on location and factors outside our control. Please refer to the Website or your order confirmation for any additional terms that may apply to your order.

An accurate shipping address and phone number are required. We are not responsible for late or missing shipments caused by incorrect shipping information you have entered. If you discover a mistake in your order after it has been submitted, please contact Customer Support at support@rosewynhealth.com immediately. You must contact us as soon as possible in order for us to attempt to modify or cancel a pending order; because orders are frequently dispatched the same day, we cannot guarantee that we will be able to amend your order.

11. Delivery Confirmation

Because many events may occur at your delivery address that are beyond our control, you agree that any delivery confirmation provided by the carrier is sufficient evidence of delivery, even without a signature.

12. Returns, Refunds, and Your Statutory Rights

Rosewyn wants you to be satisfied with your experience, so we have made refunds and returns straightforward. If you receive the wrong item, if your order arrives damaged or defective, or if you are unhappy with your purchase, please see the Refund Policy on our Website for details of how to return or exchange a product or request a refund.

UK consumers. If you are a consumer in the United Kingdom, you have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel your order within 14 days of receiving your goods, without giving any reason, and to receive a refund. To exercise this right, contact us at support@rosewynhealth.com within that period. For hygiene and safety reasons, this cancellation right does not apply to sealed supplement products that have been unsealed after delivery. In addition, under the Consumer Rights Act 2015, our products must be as described, of satisfactory quality, and fit for purpose; if they are not, you may be entitled to a repair, replacement, or refund. Nothing in these Terms limits or excludes those statutory rights, and any money-back guarantee we offer is in addition to them.

Unless otherwise stated in our Refund Policy or your order confirmation, all sales are final 90 days after order fulfilment. The following are non-refundable: (1) items marked "final sale" or "non-returnable"; (2) shipping fees; (3) expedited shipping fees; (4) package loss warranty fees; (5) priority order processing fees; and (6) gift cards and orders placed using gift cards. These exclusions do not apply where they would conflict with your statutory rights.

After our shipping department receives your return, it generally takes up to ten business days to process your refund. Once a refund is processed, it may take up to a further ten days to appear on your account, depending on your financial institution.

EXCEPT WHERE PROHIBITED BY LAW, THIS WEBSITE AND ALL PRODUCTS PROVIDED ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL ROSEWYN, CRISTO GLOBAL LLC, OR ANY OF THEIR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, INDEPENDENT CONTRACTORS, AND/OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR OTHER DAMAGES, FEES, COSTS, OR CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT, THE PRIVACY POLICY, THE PRODUCTS, OR YOUR OR A THIRD PARTY'S USE OR ATTEMPTED USE OF THE WEBSITE OR ANY PRODUCT, REGARDLESS OF WHETHER ROSEWYN HAS HAD NOTICE OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR PRODUCTS, ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, OR OTHERWISE. IF, NOTWITHSTANDING THE ABOVE, ROSEWYN IS FOUND LIABLE UNDER ANY THEORY, ROSEWYN'S TOTAL LIABILITY AND YOUR EXCLUSIVE REMEDY WILL BE LIMITED TO £500 (FIVE HUNDRED POUNDS STERLING) OR THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

16. Dispute Resolution by Binding Arbitration and Class Action Waiver

EXCEPT AS SET OUT BELOW, YOU AGREE THAT ANY DISPUTE OR CLAIM ARISING FROM OR RELATING TO THIS ARBITRATION PROVISION, ROSEWYN'S PRIVACY POLICY OR TERMS OF SALE, ROSEWYN'S ADVERTISING OR MARKETING PRACTICES, OR ROSEWYN'S PRODUCTS OR SERVICES SHALL BE SUBMITTED TO BINDING, FINAL, AND CONFIDENTIAL ARBITRATION BEFORE A SINGLE ARBITRATOR ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES. THIS ARBITRATION PROVISION SHALL BE GOVERNED BY THE U.S. FEDERAL ARBITRATION ACT ("FAA"), 9 U.S.C. §§ 1–16, AND THE ARBITRATOR SHALL BE BOUND BY THE TERMS OF THIS PROVISION. THE ARBITRATOR SHALL HAVE EXCLUSIVE AUTHORITY TO DETERMINE WHETHER A DISPUTE OR CLAIM IS ARBITRABLE. THE ARBITRATOR SHALL APPLY THE SUBSTANTIVE LAW OF THE STATE OF COLORADO TO THE EXTENT CONSISTENT WITH THE FAA, AND SHALL BE AUTHORISED TO AWARD ALL REMEDIES AVAILABLE IN AN INDIVIDUAL LAWSUIT UNDER APPLICABLE SUBSTANTIVE LAW. THE ARBITRATOR MAY ONLY RESOLVE DISPUTES BETWEEN YOU AND ROSEWYN AND MAY NOT CONSOLIDATE CLAIMS OR HEAR CLASS OR REPRESENTATIVE CLAIMS. IF A COURT OR ARBITRATOR DECIDES THAT ANY PART OF THIS AGREEMENT TO ARBITRATE CANNOT BE ENFORCED AS TO A PARTICULAR CLAIM OR REMEDY, THEN THAT CLAIM OR REMEDY (AND ONLY THAT CLAIM OR REMEDY) MUST BE BROUGHT IN COURT AND ANY OTHER CLAIMS MUST BE ARBITRATED.

CONSUMERS IN THE UK AND EU. IF YOU ARE A CONSUMER RESIDENT IN THE UNITED KINGDOM OR THE EUROPEAN UNION, THIS ARBITRATION PROVISION AND CLASS ACTION WAIVER APPLY ONLY TO THE EXTENT PERMITTED BY THE MANDATORY LAW OF YOUR COUNTRY OF RESIDENCE. NOTHING IN THIS SECTION DEPRIVES YOU OF THE PROTECTION OF MANDATORY CONSUMER PROTECTION PROVISIONS OF THAT LAW OR OF ANY RIGHT YOU MAY HAVE TO BRING PROCEEDINGS IN THE COURTS OF YOUR COUNTRY OF RESIDENCE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, YOU AGREE THAT ROSEWYN HAS THE RIGHT TO BRING A CLAIM AGAINST YOU IN THE STATE OR FEDERAL COURTS OF COLORADO FOR INJUNCTIVE OR EQUITABLE RELIEF ARISING FROM ANY POTENTIAL OR ACTUAL MISAPPROPRIATION OR INFRINGEMENT OF ROSEWYN'S INTELLECTUAL PROPERTY RIGHTS, AND YOU AGREE THAT VENUE IS PROPER AND THAT YOU ARE SUBJECT TO PERSONAL JURISDICTION IN SUCH FORUM.

UNLESS YOU TIMELY OPT OUT, AND TO THE EXTENT THIS PROVISION APPLIES TO YOU, YOU WILL NOT HAVE THE RIGHT TO: (A) HAVE A COURT OR JURY DECIDE YOUR DISPUTE OR CLAIM; (B) OBTAIN INFORMATION PRIOR TO THE HEARING TO THE SAME EXTENT AS YOU WOULD IN COURT; (C) PARTICIPATE IN A CLASS ACTION IN COURT OR IN ARBITRATION, WHETHER AS A CLASS REPRESENTATIVE, CLASS MEMBER, OR CLASS OPPONENT; (D) ACT AS A PRIVATE ATTORNEY GENERAL; OR (E) JOIN OR CONSOLIDATE YOUR CLAIM WITH THE CLAIMS OF ANY OTHER PERSON.

OPT-OUT. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF THE DATE YOU PURCHASED A PRODUCT OR SERVICE THROUGH THE WEBSITE BY SENDING A LETTER TO: CRISTO GLOBAL LLC, ATTN: LEGAL, 1940 BROADWAY STE 314C, BOULDER, CO 80302, USA, STATING YOUR NAME, THE PRODUCT YOU PURCHASED, AND YOUR INTENT TO OPT OUT OF ARBITRATION.

17. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Rosewyn, Cristo Global LLC, and their respective members, officers, directors, agents, representatives, contractors, licensors, service providers, subcontractors, suppliers, and employees from and against any and all claims, actions, losses, liabilities, damages, expenses, demands, and costs of any kind, including reasonable legal fees, arising out of, resulting from, or in any way connected with: (1) your breach of these Terms or the documents they incorporate by reference; (2) your breach of any representations or warranties in this Agreement; or (3) your violation of any law or the rights of a third party.

We are not liable for any third-party materials or websites, nor for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites.
